The Official Rules are the last word on this Contest, so please read them. In a nutshell, though, here are the answers to some frequently asked questions to help you get started.
The Yahoo! Talent Show is a nationwide search to find the next great Internet celebrity. Residents of the 50 United States & District of Columbia who are over the age of 18 can participate. Simply upload a video that best highlights your skills and talent...whatever they may be.
Simply upload a video in the following formats: ASF, AVI, MOV, MPEG, QT, or WMV. All contents of the video, including music, must be original. No use of copyrighted materials will be permitted. Also make sure that anyone you are featuring in your video has given you their permission to appear in your video. Your video must be no more than 10 minutes in total running time.
The judges are looking for America's next up-and-coming web celebrities - those who have the 1) talent, 2) creativity and 3) web charisma to entertain and connect with our on-line audience. They are looking for genuinely talented people who could have their own show on Yahoo!. No matter what your unique talent is, they want to see it! You can submit up to 50 videos, and the more videos you submit, the better your chances of winning.
The winner will be awarded a cash prize of US$50,000 and a development deal to star in, or produce their own show on Yahoo!.
If you don't want to enter the contest, you can still play an important role in the Yahoo! Talent Show by watching, voting and commenting on the videos. You will help the judges pick the finalists. In the final phase of the contest your vote will determine the winner!

THIS CONTEST IS SPONSORED BY Yahoo! Inc. (the "Sponsor").
The Yahoo! Talent Show Contest ("the Contest") is a skill based competition in which participants will compete to be selected as the next Yahoo! online celebrity talent. The winning entry will be awarded US$50,000 cash and a development deal to star in or produce their own online show on Yahoo!.
Participants will be invited to submit videos of their performance which will be voted on and rated by the public and by a panel of judges as described in Rules 7 and 8. The Contest will take place in conjunction with a daily online show (the "Daily Show") to be presented at talentshow.yahoo.com (the "Contest Site") during which an online Show host and a group of panelists will feature and comment on selected videos submitted as entries into the Contest. The Contest begins at 12:01 AM PT on October 23, 2006 and ends at 11:59 PM PT on December 13, 2006. The deadline for submissions is November 27, 2006 at 11:59 PM PT. The Contest will be conducted in two phases. The first phase of the Contest ("Round One") consists of an online competition in which Participants will be invited to submit videos of their performance online. All submissions will be voted on and rated by the public and by a panel of expert judges. Five Finalists will be selected at the end of Round One based on the results of the expert judging to advance to the second phase. During the second phase of the Contest, ("Round Two") the five Finalists will compete in a series of video challenges (each, a "Challenge"). The Finalists will submit videos featuring the results of each Challenge. The public will be asked to select the one Finalist who they think should win their own show on Yahoo! and be the next Web celebrity. The Finalist who receives the most votes during Round Two will be declared the winner, subject to verification and compliance with the Official Rules.
This Contest is open to legal residents of the fifty United States and the District of Columbia who: (a) are 18 years of age or have reached the age of majority in their jurisdiction of residence at the time of entry, whichever is greater, and (b) are legally able to work in the United States. Employees and agents of Sponsor, its affiliates, subsidiaries, advertising and promotion agencies, any other prize sponsor, and any entity involved in the development, production, implementation, administration or fulfillment of the Contest (all of the foregoing, together with Sponsors, collectively referred to as "Promotion Entities"), and their immediate family members and/or those living in the same household of such persons, whether related or not, are not eligible to enter the Contest.
Any individual wishing to participate in the Contest or voting process must first register to participate, thereby becoming an eligible participant (participants submitting videos are referred to as a "Contest Entrant"; participants who wish to vote are referred to as "Public Voters"; each Contest Entrant and/or Public Voter is a "Participant"). Registration is free and available at http://talentshow.yahoo.com ( the "Contest Site"). If you are not an existing Yahoo! account holder, follow the instructions to create a free Yahoo! ID. As part of the registration process, Participants will be required to click where indicated to signify that they accept and agree to be bound by these Official Rules, including the decisions of the judges and the Sponsor which are final and binding in all respects. Limit one (1) registration per person and per e-mail address. Any individual who attempts to register, or in the sole discretion of Sponsor is suspected of registering more than once, by any means, including but not limited to establishing multiple e-mail accounts or Yahoo! IDs will be disqualified from the Contest.
Once you have completed registration, follow the online instructions to encode and upload your video submission (a "Video"). You may submit up to 50 Videos during the term of the Contest; however, you may not submit the same or materially similar Video more than once. The decision about what constitutes the same or materially similar Video is in Sponsor's sole discretion. You must complete the registration process and upload your Video(s) no later than 11:59 P.M. (PT) on November 27, 2006. Your Videos must showcase your individual talents and creativity via a performance. All Videos: (a) must be no more than 10 minutes in total running time; (b) must be formatted and encoded according to the requirements set forth at the Contest Site; (c) must be in English, if there is any language in the Video; (d) must be intended for family audience viewing and contain only content that, in the sole and unfettered discretion of the Sponsor, is suitable for all persons over the age of 13; (e) must not, in the sole and unfettered discretion of the Sponsor, contain any sexually explicit, disparaging, libelous or other inappropriate content or any nudity; and (f) must not, in the sole discretion of Sponsor, contain any commercial content that promotes any product or service other than Yahoo!; (g) must not contain any copyrighted works (other than as owned by the Contest Entrant). Any elements appearing in your Video, including without limitation music, audio, speech/voiceovers, stills, video, supers, or other audiovisual materials (collectively, "Elements") used must be entirely original, created and performed by you or be in the public domain. Use of any Elements or other materials that are not original, or in the public domain may result in disqualification of Video, in Sponsor's sole discretion.
Each Contest Entrant retains ownership of any Video he/she enters into Round One of the Contest. However, as conditions of entry into the Contest, each Contest Entrant:
At any time during the Contest, Sponsor reserves the right, in its sole and unfettered discretion, to disqualify and remove any Video that it believes contains any inappropriate content, infringes the rights of any third party, or otherwise does not meet any other requirements in these Official Rules. The decisions of the Sponsor on this and all matter relating to the Contest are final and binding.
All eligible Videos will be displayed on the Contest Site starting November 13, 2006. Between November 13, 2006 and December 1, 2006 at 3 PM PST, (the "Round One Voting Period"). Participants who have registered at the Site pursuant to Rule 3, will have the opportunity to view and rate Videos (the " Public Voters"). Public Voters will be asked to rate Videos on a 1 to 5 star rating scale with 1 star being the lowest score and 5 stars being the highest score, based on the entrants talent, creativity and web charisma. In the event of a tie, the tied entries will be re-judged by a different panel of judges selected by the Sponsor, using the same criteria described above. Voters can only rate each Video once. Any attempt by a Voter to rate a Video more than once will result in disqualification of all ratings and other Voter Activity produced by that Voter.
The Videos in Round One will also be rated by a preliminary panel consisting of editors and media staff selected by the Sponsor and/or the Promotion Entities (the "Preliminary Panel"), who will select the top 250 entries as Semifinalists based on the Judging Criteria (defined below). The Semifinalists will not be announced. Sponsor reserves the right to select fewer than 250 Semifinalists in the event there is an insufficient number of eligible, tasteful, or otherwise appropriate entries in the Contest. The Preliminary Panel will rate the Videos on a 1-5 star scale rating with 1 star being the lowest score and 5 stars being the highest score, based on the following equally weighted criteria: creativity, entertainment ability, and audience appeal (the "Judging Criteria"). The 250 Semifinalists will then be evaluated by an expert panel of judges comprised of web celebrities and media personalities (the "Finalist Judges") based on the same Judging Criteria. The Finalist Judges will also consider the results of the public voting as of December 1, 2006 at 3 PM (PST) as an additional factor in applying the foregoing criteria, but will not be bound by the results of the public voting. The Participants who submitted the Videos that receive the five highest average ratings from the Finalist Judges will be considered the potential Contest finalists (each, a "Finalist") and advance to Round Two, subject to verification by the Sponsor and judges that the Videos are in compliance with the Official Rules and do not contain any inappropriate content. An additional number of alternate Finalists ("Alternates") will also be selected, in rank order, from among the remaining eligible Videos as scored by the Finalist Judges.
Between approximately November 27, 2006 and December 1, 2006, the five potential Finalists and 15 alternates will be contacted by telephone and/or email to arrange a personal interview and pre-screening with the Sponsor (the "Pre-Screening"). Each potential Finalist will be required to execute and return an Affidavit of Eligibility and Liability/Publicity Release (collectively, an "Affidavit and Release"), together with a non-disclosure agreement ("NDA") and any other pre-employment documentation or screening that may be required by Sponsor in connection with its normal pre-employment screening procedures. As part of the Affidavit and Release, each potential Finalist will be required to give his/her consent for the Promotion Entities to seek, at their option, investigation reports from an outside source that will report on the potential Finalist's character, general reputation, creditworthiness, and/or other personal or character aspects as may be deemed relevant in the Sponsor's sole discretion. Failure to give approval will result in disqualification of the potential Finalist from the Contest. Sponsor reserves the right, in its sole discretion, to disqualify any potential Finalist or confirmed Finalist on the basis of that individual's investigative reports. If any potential Finalist cannot be contacted, does not return a phone call or correspondence from the Sponsor within 24 hours following attempted notification, or fails to comply with the Sponsor's verification process and/or eligibility requirements for the Pre-Screening, that potential Finalist may be disqualified. Similarly, the Affidavit and Release must be fully completed and returned to Sponsors within 48 hours following the sending of those documents to the potential Finalist, or the potential Finalist may be disqualified. Similarly, the Affidavit and Release must be fully completed and returned to Sponsor within 48 hours following the sending of those documents to the potential Finalist, or the potential Finalist may be disqualified. An alternate potential Finalist may be selected, in rank order, from among the remaining Alternates, if time permits, and if any qualified Alternates remain, subject to the same eligibility and verification requirements described in these Official Rules. Potential Finalists or Alternates which are disqualified for any reason will not be entitled to any form of compensation, and any and all rights to further participation or any prize in this competition will be forfeited. As with the initial judging criteria, the judges reserve the right to select fewer than 5 Finalists in the event that fewer than 5 potential Finalists are deemed to meet their criteria, or if any potential Finalist, in the sole opinion of Sponsor, does not pass a background check.
During the second phase of the Contest ("Round Two"), the five confirmed Finalists will compete against each other in a series of video "challenges" to shoot and upload a particular type of video as specified by Sponsor in an allotted amount of time (each, a "Challenge").
The Finalist whose Videos during Round Two receive the highest weighted average ratings at the end of the seven-day Finalist Voting Period will be declared the Grand Prize winner. In the event of a tie during the Final Voting Period, the tie will be broken by a panel of judges based on the same criteria used during the Voting Process.
One Grand Prize will be awarded. The Grand Prize winner will receive US$50,000 in cash and a development deal with Yahoo!. Under the development deal to star in or produce their own online show on Yahoo!, the winner ("Producer") will be entitled to develop and produce a pilot episode of his or her first video show within one year after the awarding of the Grand Prize. Within 3 months after production of the first show, Yahoo! will have four successive, separate one-year options to continue the engagement of Producer's services for the production of additional episodes and/or video shows. Yahoo! budget up to US$10,000 for the pilot episode. The budget, length and number of video shows under the development deal will be determined solely by Yahoo!. Yahoo! shall own all right, title and interest, worldwide and in perpetuity, in and to all materials and services furnished or provided by Producer pursuant to the development deal.
Prize consists of only those items specifically listed as part of the prize. No substitution or transfer of prize is permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value in the event that an offered prize is unavailable. All federal, state and local taxes on prizes are the sole responsibility of the winner. Participant acknowledges and agrees that as a condition of being awarded the Grand Prize, Winner must sign and return within seven (7) days following attempted notification, such Work-For-Hire and Release Form which includes, among its provisions, an agreement by the Grand Prize Winner that all services and the product of all services rendered by the Grand Prize Winner as part of the development deal with Yahoo! shall be deemed a "work made for hire" under U.S. copyright law, or if, for any reason are deemed not to be a "work-made-for-hire" shall be assigned by the Grand Prize Winner to Yahoo!. Noncompliance within this time period may result in disqualification and an alternate winner may be selected.
The Contest is governed by and subject to the laws of the United States. All federal, state and local laws and regulations apply. Void where prohibited by law. All Finalists and Grand Prize winner will receive an IRS 1099 for the value of their prizes. By participating in the Contest and/or accepting any prize, participants grant permission to Sponsor and its advertising and promotion agencies to use their name, likenesses, Videos and any other material submitted in connection with the Contest for purposes of advertising, publicity and promotion purposes, without further compensation to Entrant, unless prohibited by law. Participants agree to be bound by the Official Rules and the decisions of the judges, which are final and binding on all matters relating to the Contest. Sponsor is not responsible for any typographical or other errors in the printing of the offer, administration of the Contest or the announcement of the prizes, or for lost, late, misdirected, damaged, incomplete or illegal entries.
Yahoo! reserves the right at its sole discretion to disqualify the Contest Entry or the Vote of any individual found to be (a) tampering or attempting to tamper with the entry process or the operation of the Contest or any Yahoo! website; (b) violating the Official Rules; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Yahoo! property or service, or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Further, Yahoo! reserves the right to disqualify any entry which, in Yahoo!'s sole opinion, is deemed to be offensive, libelous, slanderous, inflammatory, or otherwise inappropriate in any way for this Contest. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, YAHOO! RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
The Promotion Entities assume no responsibility for any computer, online, telephone transmission or technical malfunctions that may occur during participation in the Contest (including, without limitation, the voting phase of the Contest), or for theft, destruction or unauthorized access to, or alteration of, Contest Entry Materials or Votes. Promotion Entities are not responsible for any incorrect or inaccurate information, whether caused by website users, Participants or any of the equipment or programming associated with or utilized in the Contest; or for any technical or human error which may occur in the processing of submissions or votes in the Contest. Promotion Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing (including but not limited to any such problems which may result in the inability to access the Contest Site or to submit Entry Materials or Votes in connection with the Contest). Promotion Entities are not responsible for any injury or damage to participants or to any computer related to or resulting from participating or downloading materials in this Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Promotion Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest and select winners from among that portion of the Contest that has not been compromised, if any.
Except where prohibited, as a condition of participating in this Contest, Participant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Contest, or any prize awarded, or the determination of winners shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will Participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than entrant's actual out-pocket expenses (e.g., costs associated with entering this Contest), and Participant further waives all rights to have damages multiplied or increased. In the event of a dispute as to the identity of a winner based on email address, the winning entry will be declared made by the Authorized Account Holder of the email address submitted at time of entry. For purposes of these Official Rules, "Authorized Account Holder" is defined as the natural person who is assigned to an email addresses by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.
All issues and questions rights and obligations of Participant in connection with this Contest shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without giving effect to the conflict of laws rules thereof and any matters or proceedings which are not subject to arbitration as set forth in these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the State of California, County of Santa Clara.
The parties waive rights to trial by jury in any action or proceeding instituted in connection with these Official Rules and/or this Contest. Any controversy or claim arising out of or relating to these Official Rules and/or this Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, County of Santa Clara, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.
